Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Voyorena Travel ("Voyorena," "we," "us," or "our"), headquartered at 2893 Sunrise Blvd, Rancho Cordova, CA 95742. These Terms govern your access to and use of all services, platforms, communications, and deliverables provided by Voyorena Travel.

By submitting an inquiry form, signing a service agreement, making a payment, or otherwise engaging with our concierge team, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Voyorena reserves the right to modify these Terms at any time. Clients may be notified of material changes through the contact details on file or by publication of an updated version on our website. Continued use of our services after such notice or publication constitutes acceptance of the revised Terms.

Description of Services

Voyorena Travel is a premium luxury travel concierge company providing bespoke travel planning, in-destination support, access curation, reservation management, and membership-based services. Our service categories may include, without limitation:

• VIP concierge support with personalized itinerary coordination
• 24/7 in-trip assistance, urgent schedule adjustments, and rebooking support
• Restaurant, event, venue, and cultural reservation management
• Exclusive access requests for private, invitation-only, or limited-availability experiences
• Curated excursions, private guides, bespoke routes, and destination planning
• Membership subscriptions, annual service plans, and high-touch lifestyle support

Voyorena acts primarily as a concierge intermediary and service coordinator. Unless expressly stated in a separate written agreement, we do not act as an insurer, carrier, transportation provider, hotel operator, restaurant operator, or event organizer. Any booking or service secured for you through a third-party supplier remains subject to that supplier's own terms, rules, restrictions, and cancellation policies.

Service Limitations

While we endeavor to fulfill every client request, Voyorena cannot guarantee availability, upgrades, preferred reservations, entry approvals, pricing stability, or access to any specific third-party offering. Access to highly limited services, venues, or reservations may depend on timing, supplier discretion, capacity, government requirements, local conditions, or factors beyond our control.

Concierge recommendations are provided in good faith and based on available information at the time of service. We reserve the right to decline requests that are unlawful, unsafe, impracticable, abusive, inconsistent with supplier policies, or outside the scope of our services.

Client Eligibility and Responsibilities

By using our services, you represent that you are at least eighteen (18) years old and legally capable of entering into binding agreements. If you are booking or requesting services on behalf of additional travelers, companions, guests, or corporate participants, you represent that you are authorized to act on their behalf and to bind them to applicable terms.

You agree to provide accurate, complete, and timely information necessary for the performance of our services, including but not limited to traveler names, dates of birth, passport details when required, dietary needs, mobility requirements, special requests, and billing information.

• Maintain valid travel documents, visas, and entry authorizations
• Review all confirmations, itineraries, supplier terms, and travel details promptly upon receipt
• Notify Voyorena immediately of any discrepancy, concern, or requested correction
• Comply with the conduct rules, dress codes, entry restrictions, and policies of third-party suppliers and venues
• Use our services respectfully and lawfully, without harassment, abuse, fraud, or misuse

Voyorena is not responsible for losses arising from incomplete instructions, delayed responses, inaccurate client information, missed deadlines, failure to carry required documents, or a client's failure to review confirmations and disclosures.

Fees, Quotes, and Payment Terms

Fees for concierge services, planning retainers, booking assistance, membership plans, priority access requests, and other services will be communicated to you in writing, through a proposal, invoice, membership outline, or service confirmation. Unless otherwise stated, all prices are quoted in U.S. dollars.

Quotes are estimates only and may be subject to change before final confirmation due to supplier pricing updates, taxes, currency movement, availability, surcharges, dynamic pricing, gratuities, service charges, destination fees, or changes requested by the client.

• Payment may be required in full or in part before work begins or before third-party services are secured
• Non-payment, late payment, chargebacks, or payment disputes may result in suspension or cancellation of services
• You authorize Voyorena to rely on your payment approval for charges expressly accepted by you in connection with your requested services
• Processing fees, bank transfer fees, taxes, and third-party transaction costs may apply where relevant

If an installment, membership renewal, or invoiced amount is not paid when due, we may pause performance, refuse further service, release held reservations, or terminate ongoing support without liability for resulting losses.

Bookings, Third-Party Suppliers, and External Terms

Many services arranged through Voyorena are fulfilled by independent third parties, including but not limited to airlines, hotels, villa operators, restaurants, transportation providers, guides, event hosts, ticketing agents, and cultural institutions. Those parties are solely responsible for their own products, services, staff, schedules, safety practices, availability, and performance.

When we arrange, recommend, facilitate, request, or assist with a third-party booking, you acknowledge that:

• Supplier terms and conditions apply in addition to these Terms
• Supplier cancellation rules, no-show penalties, and usage restrictions may be strict and non-negotiable
• Supplier decisions regarding entry, upgrades, refusal of service, seating, room assignment, weather closures, or eligibility are outside our control
• We do not warrant the acts, omissions, solvency, quality, or future availability of any third-party supplier

Voyorena is not liable for errors, failures, overbookings, closures, disruptions, negligence, policy changes, or business interruptions caused by third-party suppliers.

Changes, Cancellations, and Refunds

Travel and concierge services often involve time-sensitive coordination and third-party commitments. As a result, cancellation, amendment, and refund outcomes depend on the nature of the service purchased, the stage of work completed, the supplier's rules, and the terms communicated to you at the time of confirmation.

Client-Initiated Changes

If you request changes after work has begun or after reservations have been submitted, confirmed, or ticketed, additional fees may apply. Pricing, availability, supplier approval, and feasibility may change without notice. We are not responsible for losses caused by requested modifications.

Client-Initiated Cancellations

Concierge retainers, planning fees, rush fees, access-sourcing work, and completed advisory services are generally non-refundable once work has commenced, unless otherwise stated in a written agreement. Any recoverable refund related to a third-party booking is governed solely by the third party's policies.

Supplier or Operational Changes

A hotel, airline, venue, restaurant, guide, transportation provider, or event organizer may alter or cancel services due to operational decisions, local restrictions, capacity limitations, weather, security issues, force majeure, or other circumstances. In those cases, Voyorena will use commercially reasonable efforts to assist with re-accommodation or alternatives, but does not guarantee replacement arrangements or reimbursement beyond what the supplier makes available.

Membership Plans and Recurring Services

If you enroll in a membership, annual service tier, or recurring concierge arrangement, the applicable scope, duration, benefits, renewal structure, and payment schedule will be provided in writing. Membership features may include priority response times, dedicated concierge handling, preferred booking support, access sourcing, and travel oversight, but they remain subject to availability and operational constraints.

• Memberships are personal unless otherwise stated and may not be transferred without our written consent
• Unused benefits do not carry monetary value unless specifically stated in your plan terms
• We may suspend or terminate membership access for non-payment, misuse, abuse of staff, unlawful conduct, or material violation of these Terms
• Renewals may continue according to the agreed billing cycle unless cancelled pursuant to the applicable plan terms

Any special access benefit, preferred reservation handling, or VIP priority service included in a membership remains subject to supplier discretion and cannot be guaranteed.

Travel Documents, Insurance, Health, and Safety

You are solely responsible for obtaining and carrying valid passports, visas, transit authorizations, vaccination records, health documentation, and any other entry or exit requirements applicable to your itinerary. Government requirements may change at any time, and it remains your responsibility to verify them directly with official authorities.

We strongly recommend that all travelers obtain comprehensive travel insurance, including coverage for trip cancellation, interruption, delays, medical treatment, emergency evacuation, personal liability, and supplier insolvency where available. Voyorena does not provide insurance coverage unless expressly stated in a separate written agreement.

You also acknowledge that travel may involve inherent risks, including illness, transportation disruption, political instability, civil unrest, weather events, accidents, crime, natural disasters, and changing local conditions. You voluntarily assume such risks to the fullest extent permitted by law.

Force Majeure

Voyorena will not be liable for delay, nonperformance, disruption, closure, cancellation, or diminished service caused by events beyond our reasonable control. Such events may include, without limitation, acts of God, weather emergencies, fires, floods, epidemics, pandemics, government actions, war, civil unrest, labor disputes, transportation shutdowns, technical outages, cybersecurity incidents, venue closures, or supplier insolvency.

In a force majeure situation, we may suspend or adjust performance, substitute methods of communication, delay certain services, or assist with alternate arrangements at our discretion. However, we do not guarantee refunds, replacements, credits, or a specific outcome unless such remedy is provided by the relevant supplier or agreed by us in writing.

Confidentiality, Communications, and Acceptable Use

In the course of serving you, we may receive private itinerary details, identity information, preferences, special requests, and sensitive travel logistics. We will handle such information with reasonable care consistent with our operational needs and privacy practices.

You agree not to misuse our services, impersonate others, submit fraudulent payment information, make unlawful requests, use abusive or threatening language, interfere with our systems, or demand conduct that violates supplier rules, public law, or ethical standards.

We may communicate with you by email, phone, messaging applications, or other agreed channels for operational, reservation, billing, and service-related purposes. You are responsible for keeping your contact details current and monitoring communications relevant to your trip or service.

Intellectual Property

All content, itinerary concepts, curation materials, travel proposals, destination guides, service descriptions, concierge frameworks, branding, website content, graphics, layouts, written copy, and internal systems provided by Voyorena are protected by applicable intellectual property laws and remain our property or the property of our licensors.

You may use materials delivered to you solely for your personal or internal business use in connection with the services purchased. You may not reproduce, resell, republish, distribute, reverse engineer, or commercially exploit our materials, methods, or brand assets without prior written permission.

Disclaimers and Limitation of Liability

To the fullest extent permitted by law, Voyorena provides services on an "as available" and "as arranged" basis. We do not warrant that travel will proceed without interruption, that every request will be fulfilled, or that any specific reservation, access outcome, timing, upgrade, or service quality will be achieved.

To the fullest extent permitted by law, Voyorena shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of enjoyment, missed opportunities, emotional distress, reputational harm, travel disruption, lost profits, lost business, or costs arising from third-party failures.

Where liability cannot lawfully be excluded, our aggregate liability for claims arising out of or relating to our services shall not exceed the amount of the concierge fees actually paid directly to Voyorena for the specific service giving rise to the claim, excluding sums paid onward to third-party suppliers.

Indemnification

You agree to defend, indemnify, and hold harmless Voyorena, its owners, directors, employees, affiliates, contractors, and representatives from and against any claims, damages, liabilities, losses, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your breach of these Terms
• Your violation of law or third-party rights
• Your negligent, reckless, fraudulent, or intentional conduct
• Your failure to comply with supplier policies, entry requirements, or travel obligations
• Any claim brought by a traveler, companion, guest, or third party on whose behalf you acted

Termination

We may suspend, refuse, or terminate service immediately if you fail to make payment, provide false information, misuse our services, engage in abusive behavior, request unlawful conduct, threaten staff, initiate unjustified payment reversals, or otherwise materially breach these Terms.

Termination does not relieve you of payment obligations already incurred, nor does it create a right to refund for completed work, committed supplier costs, non-refundable reservations, or services already rendered.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Voyorena shall be brought in the appropriate state or federal courts located in California, unless applicable law requires otherwise.

Before filing a formal claim, the parties agree to make a good-faith effort to resolve the matter informally by written notice and reasonable discussion. This informal resolution process does not waive any legal rights or defenses.

General Provisions

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision will not constitute a waiver of that provision or any other right. These Terms, together with any written service proposal, invoice, booking confirmation, membership outline, or separate signed agreement, form the entire understanding between you and Voyorena with respect to the services described.
